Stampede Social Affiliate Program Terms and Conditions

2. Definitions

• Affiliate: An individual or entity that promotes Stampede Social products in exchange for commissions.
• Commission: The payment an affiliate earns for generating a Qualified Purchase.
• Qualified Purchase: A purchase by a customer referred through the affiliate's unique tracking link within the trackable time frame (7 days).
• Referral: A customer who completes a purchase through the affiliate's unique tracking link.

3. Application Process

• Interested parties can apply to join the affiliate program through the Stampede Social website. Applications are subject to review and approval.

4. Affiliate Eligibility

• Eligibility Criteria: There are no specific eligibility criteria regarding audience size or type of content.
• Regional Restrictions: Affiliates from all regions are accepted. All payments are made in USD, and affiliates are responsible for their own taxes and compliance with local laws.
• Not eligible: Employees of or partner companies or employees of partner companies of Stampede Social are not eligible for the affiliate program. You are not allowed to collect commission on your own personal or business accounts.

5. Commission Structure

• Commission Rate: Affiliates earn 20% of the revenue collected for the first year from referred customers.
• Commission Changes: The commission rate is fixed and will not change based on promotional periods or performance tiers.

6. Payout Details

• Payout Frequency: Commissions are paid out quarterly.
• Minimum Payout Threshold: The minimum payout amount is $100.
• Payment Methods: Payouts are made via PayPal.
• No Partial Payouts: No partial payouts will be made. Affiliates must reach the minimum payout threshold of $100 to receive payment.

7. Promotional Guidelines

• Promotion Guidelines: There are no specific guidelines for how affiliates should promote Stampede Social products.
• Restrictions: Affiliates are prohibited from using paid search ads to promote Stampede Social.

8. Termination

• Termination Conditions: The affiliate agreement may be terminated if any illegal manipulation of sales is detected or if Stampede Social determines, at its sole discretion, that the partnership is not beneficial for either party.
• Notice Period: A notice period of 7 days is required for termination.

9. Affiliate Responsibilities

• Affiliates must adhere to ethical marketing practices, comply with advertising standards, and accurately represent Stampede Social.

10. Intellectual Property

• Affiliates are granted a limited, non-exclusive license to use Stampede Social trademarks, logos, and other branding materials solely for the purpose of promoting Stampede Social products.

11. Confidentiality

• Affiliates must maintain the confidentiality of proprietary information shared by Stampede Social and not disclose it to third parties.

12. Indemnification

• Affiliates agree to indemnify and hold Stampede Social harmless from any claims, damages, or liabilities arising from their promotional activities.

13. Non-Exclusivity

• The affiliate program is non-exclusive, and Stampede Social reserves the right to engage with other affiliates and partners.

14. Fraud Prevention

• Stampede Social implements measures to prevent fraudulent activities, such as invalid clicks or fake leads. Any detected fraud will result in termination of the affiliate agreement.

15. Liability and Disclaimers

• Sales Tracking: Sales only count if the customer used the provided affiliate link and made the purchase within the trackable time frame (7 days). Sales not made via affiliate program tracking are not eligible for commission. 
• Cookies: Users that click on an affiliate link will have a cookie dropped for their current browser. Only sales then made via that browser will be eligible for commission. Non trackable events (sales made on different browsers/computers, etc.) will not be eligible for commission. 
• Future Earnings: Stampede Social may withhold future earnings if a payout occurred before a refund was issued to a qualifying purchase.
• Prohibited Content: Affiliates are strictly prohibited from promoting Stampede Social products through disparaging content, hate speech, or any form of content that is illegal, offensive, or violates community standards. Violation of this policy will result in immediate termination of the affiliate agreement and may lead to potential legal consequences.
• No Partial Payouts: Affiliates must reach the minimum payout threshold of $100 to receive payment. No partial payouts will be made.
• Commission Assignment: Only one affiliate can receive commission for a sale. If a customer clicks on multiple affiliate links, the affiliate software will determine the sole affiliate to receive the commission. This determination is final and non-transferable.
• Changes to Terms: Stampede Social reserves the right to update or modify the terms of this program at its discretion.
• Liability Limitation: Stampede Social is not liable for any indirect, incidental, or consequential damages arising out of the affiliate's participation in the program.
• Free Trial periods: A pending sale in the dashboard is not a guarantee of a final sale and/or commission.

16. Governing Law

• Jurisdiction: This agreement is governed by the laws of the USA, specifically the State of Michigan, Oakland County.
